Global 45 Split Corp. is an investment Corporation that issued two series of redeemable, transferable shares: Preferred Shares and Class A Shares.

Preferred Shares

The Company's investment objectives with respect to the Preferred Shares are as follows:

1. to provide holders of Preferred Shares with fixed cumulative preferential quarterly cash distributions in the amount of $0.13125 per Preferred Share to yield 5.25% per annum on the original issue price of the Preferred Shares; and

2. on or about September 30, 2011 (the "Termination Date"), to pay the holders of Preferred Shares the original issue price of those shares.

The Preferred Shares have been rated Pfd-2 by Dominion Bond Rating Service Limited.

Class A Shares

The Company's investment objectives with respect to the Class A Shares are as follows:

1. to provide holders of Class A Shares with regular monthly cash distributions targeted to be $0.10 per Class A Share to yield 8.00% per annum on the original issue price of the Class A Shares; and

2. on or about the Termination Date, to pay the holders of Class A Shares at least the original issue price of those shares.
