Investment Objectives

The Fund's investment objectives are to provide unitholders with (i) monthly distributions; and (ii) the opportunity for capital appreciation by investing in an actively- managed portfolio comprised primarily of convertible debentures of Canadian Energy Issuers. The amount of monthly distributions will be based on the Manager's assessment of anticipated cash flow and anticipated expenses of the Fund from time to time.

Investment Strategies

The Manager endeavours to construct a portfolio that is diversified by energy issuer and will attempt to mitigate reinvestment and interest rate risk by monitoring both the energy issuers and the duration of the portfolio. The convertible debentures in the portfolio will combine the attributes of both equity investing and fixed income investing. The Manager intends to assess the relative attractiveness of a convertible debenture factoring in elements including, but not limited to, the stability of historical and projected cash flow, overall levels of indebtedness of an issuer, key financial ratios, as well as the overall prospects of the business. An "energy issuer" means, without limitation, an issuer whose business is, or includes, the production, exploration for, transportation or storage of, or refining of, oil or gas or electricity, or the commodities required for the production thereof.

The Manager expects that it will, from time to time, hold equity securities of publicly listed issuers as part of the portfolio, both as a direct investment strategy and as a result ofreceiving such securities on the conversion or at maturity of a convertible debenture. In addition, the Fund may hold cash or cash equivalents and other securities of publicly listed issuers from time to time.

Generally, at least 90% of the value of any securities held in the Portfolio that are denominated in US dollars will be hedged back to the Canadian dollar.
